Terms & Conditions
Last updated: 14 October 2026
These Terms & Conditions apply to purchases of MediaToolkit subscriptions and the associated licensing, download, update and support services. They apply to both business customers and consumers. Mandatory consumer rights take precedence over any conflicting provision.
Seller and contact
Your contracting partner is Marcus Pohorely, trading as Media Toolkit e.U., Kratkystrasse 8a, 8020 Graz, Austria. You can contact us at [email protected]. Further company information is available in our Imprint.
Plans and included services
Your selected plan determines the available services, billing period and number of website activations. The product description and order summary shown before purchase form part of the agreed offer. MediaToolkit is a WordPress plugin that requires a compatible WordPress installation and hosting environment meeting the stated requirements.
An active, valid license is required to use the plugin tools and access the associated subscription services. A subscription does not provide permanent access to those services after the subscription period ends. Any rights granted by the applicable software or third-party licences remain governed by those licences.
Ordering and contract formation
You select a plan, provide the requested account information, review the order and submit the payment-bearing order through checkout. You can correct your information before submitting the order. The contract is concluded when we accept your order by confirming the purchase and making the purchased access available. An account-registration message alone is not acceptance of an order.
We provide a contract confirmation on a durable medium, such as email, including the agreed offer and applicable contractual information. These terms are provided in English; mandatory requirements concerning understandable information and consumer protection remain unaffected.
Prices, taxes and payment
The price, currency, billing interval and applicable taxes are shown before you submit the order. Consumers are shown the total amount payable, including applicable taxes and unavoidable charges. Each annual subscription period is paid in advance. Stripe processes payments and provides the billing portal and invoices.
The agreed price for an already paid period is not increased retrospectively. Any change to the price for a future period requires a valid contractual basis or your agreement, with advance information and any applicable right to decline the change. Publication of a different price on our website alone does not change your existing agreement.
Access and customer accounts
Purchased access is made available after successful payment verification. Your account lets you manage licenses, website assignments and billing. Keep your account and license credentials secure and provide accurate information needed to process the purchase. If you act for a business, you must be authorized to place the order for that business.
If access is not provided as agreed or a payment or license check appears incorrect, contact us so that we can investigate and resolve the issue. Your statutory remedies remain unaffected.
Website activations and moves
Each separately activated WordPress site counts towards the website limit of your plan. Active bindings and website reservations use the same limit. Separately activated staging or development sites also count unless your agreed offer expressly provides an allowance. In WordPress multisite, each activated subsite counts separately.
You may release an existing assignment through your account and activate another eligible website within your plan limit. Unlinking a website, deactivating or uninstalling the plugin, or deleting a local license key does not cancel your subscription.
Annual renewal and cancellation
Subscriptions run for one year and renew for another year unless cancelled before the current period ends. You can cancel future renewals at any time during the current period through the billing portal or by contacting us. No earlier cancellation deadline applies. Cancellation takes effect at the end of the paid period, and your access remains available until then.
For consumers, we send a separate reminder at the start of the final 30 days of the current period. It states the renewal date, the charge for the next year, the fact that the subscription renews if you do not cancel, and how to cancel. You have that entire 30-day period to prevent renewal, in addition to the ability to cancel earlier. If a legally required renewal reminder is not provided and the requirements for an automatic renewal are not met, we do not rely on that renewal clause to extend the consumer contract.
Cancelling future renewals does not by itself create a right to a proportional refund for the current period. Statutory withdrawal, warranty, termination and refund rights remain unaffected.
What happens when the subscription ends
When the paid license period ends without a valid renewal, access to the plugin tools, authorized downloads, updates and subscription support ends. License management remains accessible. Existing media files, saved settings and queued job records are retained; the plugin does not delete them merely because the license expires. Retaining these records does not mean that the tools remain available without a valid license.
A later successful renewal can restore access under the renewed entitlement. Statutory obligations that continue beyond the subscription period remain unaffected.
Updates, compatibility and support
During the agreed subscription period, we provide the updates and support included in the offer. Support is available by email for installation, configuration and problems with MediaToolkit. It does not include individual software development, running your website for you, or general repair of unrelated themes, plugins or hosting systems unless separately agreed. No fixed response time or round-the-clock service is promised.
Mandatory obligations to provide updates, including necessary security updates, and statutory conformity requirements are not excluded by these terms. Contact us if the plugin does not meet the agreed requirements or does not work in the disclosed supported environment.
Working with media and external providers
Media operations can overwrite image variants, change files or update attachment information. Review the operation and maintain suitable backups before making substantial changes. These precautions do not remove our responsibility for defects or other liability under applicable law.
Optional services such as Imagify and ShortPixel require a separate provider account and credentials. Their charges are not included unless your offer expressly states otherwise. Their terms apply to their own services. You are responsible for having the necessary rights and legal basis to process the media you select.
Payment problems and restrictions
A failed renewal payment does not create a new paid period. Access may end when the already paid period expires. We may restrict access where there is no valid entitlement or where a restriction is justified by law or a material contractual breach. Any restriction must respect your contractual and statutory rights.
A refund or payment dispute does not automatically waive your legal rights. If a disputed transaction leads to a license restriction, contact us for review. We do not use these terms to prevent legitimate complaints, withdrawal requests or warranty claims.
Withdrawal and refunds
Consumers generally have a statutory 14-day withdrawal period for eligible distance contracts, starting at contract conclusion. The applicable conditions, exceptions and procedure depend on the type of performance. Further information and the withdrawal form are provided on our Withdrawal Information page.
For digital content supplied without a physical medium, an early loss of the withdrawal right applies only if all legal conditions are met, including your express agreement to early supply, acknowledgement of the resulting loss of the right, the required contract confirmation and commencement of supply. Purchasing or downloading the plugin alone is not a blanket waiver. Any services forming part of the purchase are subject to their applicable statutory rules.
We do not offer an additional voluntary money-back guarantee. This does not limit statutory rights to withdraw, obtain remedies for defects, terminate where permitted, or receive a refund when the law requires one.
Warranty and liability
We are responsible for providing the agreed digital content and services in accordance with applicable law. Consumers retain their mandatory warranty rights, including the remedies available under the Austrian Consumer Warranty Act (VGG) where applicable. Depending on the legal requirements and circumstances, these can include correction, price reduction or contract termination.
Liability is governed by applicable law. These terms do not exclude liability for intent, gross negligence, personal injury or any other liability that cannot lawfully be excluded. Nor do they shift the statutory burden of proof or remove mandatory consumer remedies.
Changes to services or these terms
Changes required to maintain the agreed conformity or security are handled in accordance with applicable law. Changes beyond that scope during an ongoing consumer contract require the applicable legal conditions, information and any rights to retain the existing service or terminate the contract. These terms do not create a general right to remove agreed features or substantially reduce a paid service at our discretion.
The version agreed when you place an order applies to that order. A new version published on the website does not automatically amend an existing contract. Later changes require a valid legal or contractual basis; silence alone is not treated as agreement.
Governing law and disputes
Austrian law applies. If you are a consumer, this choice does not deprive you of mandatory protection provided by the law applicable in your country of habitual residence. Jurisdiction is determined by the applicable rules; these terms do not require consumers to bring claims exclusively in Graz or waive a protected consumer forum.
Please contact us if a problem arises so that we can try to resolve it. You remain free to exercise your legal rights and seek remedies through the competent courts.
Data privacy
Our Privacy Policy explains how account, payment, license and other personal data is processed. These terms do not constitute a blanket consent to optional analytics or other processing that requires your separate consent.
